We advised several investment funds on changing documentation regarding the financing of companies
from the CTL group – entities acting, e.g., as infrastructure managers related to the provision of railway lines throughout Europe. The transaction included, i.a., mezzanine financing, provided by our clients, and securing claims by using the Anglo-Saxon construction of so-called “Parallel debt”. C & G Law Firm advised on the Polish aspects of the transaction, including control of tangible securities established under the Polish jurisdiction, as well as verification of individual corporate acts and legal opinions. Piotr Gałuszyński led the team, and was assisted by Bartłomiej Grela and Łucja Jankowska-Lech. The commercial banks and borrowers were represented by renowned international law firms, and we supported the London office of Latham & Watkins in advising the investment funds.
